          Association’s Name and Center

         Item 1- Association’s Name: “History Educators Union Association

         Center of the association is in Ankara.       

         The Association is able to set up a new branch at home and abroad.

         Aim of the Association, Study Subjects by the Association In Order To Fulfill the Aims, Styles and Field Of Activity

         Item 2- The Association is founded in order to contribute Turkey’s education, cultural, and social areas, especially to provide love and respect, unity and cooperation, helping in each other in social, cultural, material and spiritual among history educators and people who set their heart on education, to contribute history education’s understanding, improving and becoming widespread in Turkey, to hold scientific organizations on the area, to publish articles on the area, to supply unity and solidarity among teachers, academicians, pedagogues, sociologists and history educators.

         Study Subjects and Perspectives That Are Kept On By the Association

1-To research on education, sociology, history education and history to activate and improve activities, 

2-To organize education studies such as course, seminar, conference and panel discussion,

3-To obtain all documents, knowledge, publications to catch the aim, to form documentation center, to publish newspaper, magazine, book and web page in order to inform studies, and to publish study and information bulletin to distribute to the members,

4-To supply healthy studying center in order to get aims, to obtain all kinds of stationary items, technical means and materials, official stock,

5-To publish some article to get education and history educational way of thinking as an effective and common identity,

      6-On condition that after necessary permission is taken, to collect contributions and accept donations at home and abroad,

        7- To supply gratis scholarship students who study in education science, history in a graduate and undergraduate level and whose opportunities are very limited and successful on their areas,

8-To establish financial, commercial and industrial enterprises in order to supply necessary income to get charter’s aims,

9-To found local, social and cultural foundations in order to members benefit and spend their free times, and then inspect these foundations,

10-To hold meals, meetings, concerts, ball, theatre, exhibition, sport, journey, entertaining activities to improve human relation and keep up among the members,

11-To purchase, sell, hire, rent out necessary needs for chart’s activities such as movable and immovable goods and to set in kind rights on immovable goods,

12-To establish foundation, federation and join in a founded federation if needed to catch the aim; on condition that after necessary permission is taken, to found institution that associations are able to found,

13-To hold international activities, to enroll in international associations and foundations, and to study with these foundations on project basis and help each other,

14-In order to realize association’s aims, to accept donation from similar associations, worker and employer labor, trade unions, and contribute these associations,

15-If needed, to apply some common project with civil foundations on related subjects on condition that by Civil Foundation and Association Law No 5072 and rules on related connection will be kept as reserved,

16-To establish fund in order to supply members’ necessary needs such as food and clothing and other goods and short fixed term credit needs,

17-To open a branch or representative agent where is needed,

18-To form platforms with other associations, labor or trade unions, and similar non-governmental organizations in order to realize a common aim on related issues and at unrestricted areas,

19- To hold scientific excursions at home and abroad,

20- To organize rewarded contests to improve history educations and related branches and to encourage the students,

21- To counsel on technical, scientific and industrial issues, supply service, umpire, express opinions and evaluation on international agreements and studies in which our country participates,

 22- To have a relation between similar foundation abroad,

Association’s Activity Area

Association activates on education, cultural and social areas.

Right of Affiliate with the Union and Membership Process

Item 3- There are two kinds of membership of the union such as original member of the union and honorary member of the union.

Each natural and legal person who has activity capacity adopts the union’s aim and principles, accepts to work on these aims, and has the abilities on union legislation have the right of being a member of the association. Foreigner natural person is able to be member of the union on condition that has the right of settlement in Turkey. Being an honorary member of the union, this condition is now considered.

            Person who would like to be the member of the association should prepare necessary papers which are desired from Administrative Board. They should call upon Administrative Board. Application should be done by a petition to the president of the association. Administrative Board should evaluate the application and adjudicate the application as acceptance or disclaimer in 30-day-times and informs the comer by a written paper. Member whose application is accepted is registered on an entry book of the association.

         Association’s original members are the members who are accepted to the union by founder of the association and Administrative Board.

 Duty and Responsibility of the Original Members:

-To participate in ordinary and extraordinary board, to advance a proposal in ordinary and extraordinary boards.

-To carry out duties which are given by plenary assembly and Administrative Board according to regulation declared void

-To select original and alternate members of the Administrative Board and Honors Board or carry on these duties if they are chosen.

-All members of the union are equal. Each member has the right of vote in plenary assembly. Member is supposed to use vote in person.

            -Member who is dismissed from membership or resigned is not able to declare any right on association property holdings.

People who support association financially or spiritually in a great degree and serve on history education and lateral branch of the history according to association’s aims are able to be accepted as honor member to the union by Administrative Board. These members do not have the right of vote in plenary session.

         When a new branch of the union is opened, records of members in union center are transferred to the branches. New membership applications are made in branches. Acceptance and dismissal of the membership process are done by branch administrative boards and these processes are notified to the General Center in 30-days-time. 

         Dismissal from Membership

         Item 4-Each member has the right of dismissal from membership if applies in written.

When member’s dismissal application is received by administrative board, dismissal process is accepted as done. Dismissing from membership does not close member’s accumulation of arrears.

         Dismissing From Membership

         Item 5-Affairs of being dismissed from membership:

         1-Affairs against the rules of union constitution,

         2-Swinging the lead continuously,

         3-Not paying the membership dues in 6-months-time despite written warnings,

         4-Not obeying the decisions that are taken by organs of association.

5-Losing the conditions of being member,

On determining of above one of affairs, member is able to be dismissed by administrative board.

         Member who is dismissed or resigned are removed from the register and cannot claim right in mass of assets of the union.

         Organs of the Union

          Item 6-Organs of the union are shown below.

         1-Plenary Assembly,

         2-Administrative Board,

         3-Supervisory Board,

          4-Honary Board


         Foundation of Plenary Assembly, Meeting Time, Calling and Type of Meeting

Item 7-Plenary Assembly, the most effective decision organ, is formed from registered member of the unit, branch’s original delegates and chosen delegates by registered members.

Plenary Assembly meets in council;

1-ordinary on announced time,

         2-extraordinary on Administrative Board or Supervisory Board consider meeting necessary or written demand of 1 out of 5 members of the unit.

         Ordinary Plenary Assembly meets in council once three years in May in a predestined time, place and time by Administrative Board.

Plenary Assembly is called to the meeting by Administrative Board.

If Administrative Board does not call Plenary Assembly to the meeting, justice of peace nominates three members to call plenary assembly to the meeting on one of the member application.

Type of Calling

Administrative Board prepares the list of members who have the right of participating in plenary assembly meeting according to charter. Members who have the right of participating in plenary assembly meeting are called to the meeting at least before fortnight by publishing meeting day, place and time on a newspaper or written or via electronic mail. If it does not break the quorum, second meeting’s day, place and time is manifested. Duration between the first and second meeting cannot be less than seven days and more than sixty days.

If meeting cannot be done on time by another reason of breaking the quorum, this case is manifested to the members with the reason according to the type of the first meeting rules. Second meeting is supposed to be done during at least six months time beginning from postponing. Members are called to the second meeting according to the bases which are determined on the first column.

Plenary assembly meeting cannot be postponed more than once.

Type of Meeting

Plenary Assembly meets one more member from half of the members who have the right of participating in plenary assembly meeting according to charter. On charter changing and abolishing charter, plenary assembly meets by participating 2 out of 3 members of the association. If it does not break a quorum in the first meeting, breaking a quorum is not necessary in the second meeting. However, number of the members who participate in second meeting cannot be less than two times of total members’ integer of Administrative Board and Supervisory Board.

Plenary Assembly meetings are hold where the association center is or a place which is determined by Plenary Assembly at least fortnights before on condition informing the members.

List of the members who have the right of participating in plenary assembly exists in meeting place. Members’ evidence of public identity cards who will attend to the meeting are controlled by members of the Administrative Board or appointed people who are selected by administrative board. Members participate in the meeting by signing over against their names on the list.

If meeting quorum is gained, this case is determined via a record and meeting is opened by administrative board president or one of administrative board member chosen by the president. In the case of not getting meeting quorum, a record is created by administrative board.

After opening, council committee is formed by a president, necessary vice presidents and secretary in order to manage the meeting.

Members who will vote are supposed to show their ID cards to the council committee and sign over against their names on the list of attendance in voting for council committee organs. 

Managing the meeting and policing is at the peril of the president.

In plenary committee, merely items on the agenda are discussed. However, subjects that are desired by one out of ten of the attendant members’ via written paper are supposed to be put on the agenda essentially.

In plenary committee, each member has only one right of voting; member has to vote in person. Honor members can attend the meetings, but they cannot vote. On condition that legal person enrolls, legal person’s administrative board president or a person whom is charged by the president votes.

Subjects that discussed in meeting and decisions are written down on a record and signed by council president and secretaries. At the end of the meeting, written record and other files are handed in to the administrative board president. Administrative board president is responsible for keeping the files and handing over new chosen president in seven-day time.

Formation and Procedures of Plenary Committee’s Voting

Item 8-In plenary meeting, if not a reverse decision, administrative board and supervisory committee’s members’ voting is done by secret voting, decisions on other subjects are voted by open ballot. Secrets votes are collected ballots put into an empty folder by the members after doing necessary process or sealed paper by meeting president and open break downing votes after finishing voting.

In open balloting, a method that is determined by president is used.

Plenary committee decisions are taken by simple majority of attended members. Insofar, changing charter and abolishing association decision can only be taken by two out of three majorities of attendant members of meeting.


Taken Decisions without Meeting and Calling

Taken decisions by attending via a written paper without gathering the whole members and by all association members gathering without observing calling formation on charter are valid. By taking decisions like this does not stand for ordinary meeting. 

         Plenary Committee’s Duties and Responsibilities

         Item 9-Subjects to hereafter below are discussed and taken decision by plenary committee.   

         1-Electing charter organs,

         2-Changing association charter,

         3-Administrative and supervisory committees reports discussions and administrative board’s discharging,

         4-Talking over budget prepared by administrative board and accepting changed or unchanged,

5-Supervising other organs of the association and removing form office if required with justice causes,

6-Investigating disclaimers against rejection of member or removing from membership and adjudicating,

         7-Purchasing necessary immovable goods or delegating authority to administrative board to sell existing immovable goods,

         8-Studying regulations related to association activities prepared by administrative board and signing off them by changing or unchanging,

         9-Determining fees will be paid to president and members of the charter who are not civil servant and all kinds of appropriation, transporting allowance, indemnity and daily wages, deadheading pay that will be paid to members who will be charged for association services,

         10-Deciding association’s participating in a federation or removing from a federation,

         11-Deciding on opening association’s branches,

         12-Assosiation’s activating on an international activity, participating in an association and foundation in abroad as a member or removing,

         13-Founding a fund,

         14-Abolishing association,

         15-Studying administrative board’s other offers and deciding on,

16-Operating association’s other studies that are not given to any organs of association as the most effective organ of the union, exercising authority,

17-Compating other missions by plenary committee in legislation,

         Formation of Administrative Board, Duties and Responsibilities

         Item 10-Administrative Board is elected as five original and five alternate members by plenary committee.

Administrative Board states president, vice president, secretary, accountant, and member by job sharing in the first meeting via a decision. 

         Administrative board can be called to a meeting in anytime on condition that informing the whole members. If there is one more member than half of the members’ integer, administrative board can meet in a council. Making decisions depends on absolute majority of members’ integer.

         If there is discharge in original member of administrative board because of resigning or another reason, it is compulsory that alternate member who gets the more votes in plenary committee.

         Administrative Board’s Duties and Authorities

         Administrative board is supposed to do these duties below:

         1-To represent association or charge one of its members representing or delegate authority to the third person,

         2-Doing the process of income and expenditure accounts and drawing up the next term budget and submit to the plenary committee,

         3-Prepare the regulations of association activities and submit for plenary committee approval,

         4-According to the authority given by plenary committee, to purchase immovable goods, sell movable and immovable goods of the association, to build a building or foundation, to contract of lease, to gage or mortgage to establish real rights in favor of the association,

         5-To supply the process of opening branches according to given authority by plenary committee,

6-To supply supervising association’s branches,

6-To supply opening branches in needed places,

         7-To apply decisions taken in plenary council,

         8-To set operating results of the association or balance sheet and income statements in each year with administrative board labor report, submit in plenary council on meeting,

         9-To supply applying budget,

         10-To make decisions on accepting and removing member,

11-To make any kinds of decisions and applying these decisions on performing unity’s aim intra vires,

12-To do the other duties given by the regulations and exercise power,

         Formation of Supervisory Board, Duties and Responsibilities

         Item 11- Supervisory Board is elected as three original and three alternate members by plenary committee.

         If there is discharge in original member of supervisory board because of resigning or another reason, it is compulsory that alternate member who gets the more votes in plenary committee.

         Supervisory Board’s Duties and Authorities

         Supervisory board checks according to fixed time periods in a year-time, bases and procedures whether the association display activity according to its charter’s aim in accordance with activity subjects or not, whether record, account and recordings are appropriate according to its regulation and charter and submits audit reports as a report in plenary council.

         Supervisory board calls the plenary council to meeting if needed.

         Honor Board’s Duties and Authorities

Item 12- Honor board which forms from three original members and three alternate members elected by plenary council examines members’ affairs who do not obey the association rules. Honor board that chooses one of its members as president meets to debate administrative board or applications of the members. In order to meet, at least two members needed.


         Working Parties and Council Committees

Item 13- Administrative board forms necessary working parties and council committees to fulfill the purpose. These parties and committees duties are completed on working finished.


   Association’s Source of Income and Expenditures

            Item 14- Admission fees, annually fees, donations, incomes are gotten from researches and publication, property holdings incomes, any donations from legal and private corporations, foundations, funds and souvenirs are incomes. Association’s incomes are listed below:

         1-Contribution dues: Plenary council determines the amount of admission fees of the members and monthly and annually fees.

         2-Brench dues: 50 % of the branches income gained from contribution dues is transferred to the general center to pay expenditures once six months.

         2-Real or legal person’s donations and fund to the association,

3-Derived incomes from activities organized by the association such as tea and meal meetings, journeys, entertainments, shows, concerts, sport competitions, and conferences,

4-Incomes from association’s property holdings,

5-According to collecting funds regulation decisions, to be collected aids and donations,

6-Incomes from business operations that association engages in a business to gain income,

7-Financial aids collected from similar aimed associations, labor, employer and civil servant and professional unions,

8- Incomes gained from common projects that are done together with public bodies and foundations,

9- Donations and financial aids from person, foundation, association in abroad,

10- National and international project preparing and applying incomes,

11- Other incomes


On condition that union’s incomes are collected via banks, extract of account or account summary are accepted as notice of delivery.

Bill of delivery and bill of expenditure retention period is five years.

Annual capital fees are restated by plenary council in general committee meeting.


Association Expenditures

Administrative board expends according to suitable for unity aims and approved budget in plenary council.


         Bases and Procedures of Recordings and Books to Be Kept

  Item 15-Bases of keeping books;

Book is kept on the basis of development account in unity. However, yearly gross income exceeds limits stated in regulations; book is kept on the basis of balance sheet account by starting from prosecuting account term.

On heading balance sheet bases, development account can be used beginning from prosecuting account term if fails under limits stated above twice.

Without bounding to limit stated above, book can be kept according to balance sheet bases via administrative board decision.

On starting a business concern, a new book is kept according to tax procedure law.

Recording Procedure

Association’s book and book’s recordings are kept as suitable for according to Club Laws.

Books to Be Kept

These books are kept in association written below:

a) Books to be kept in developments account and bases to be fit are as follows:

1-Decision Book: Administrative board decisions are written down on this book with date and by orders. Bottom of the decisions are signed by the participant members.

2-Member Book of Report: Identity of the members and date of registration and removing are written down on this book. Contribution dues and annual fees can be carried in this book.

3-Voucher Register: Received and sent documents are registered on this book with date and by orders. Originals of the documents and copy of the sent documents are filed. Received and sent documents via electronic mails are kept by printing.

4-Field Book: Date of obtaining fittings and type of receiving, place of usage or place of given and descending fittings that are out of usage are carried on this book.

5-Development Account Book: Incomes for the union and expenditures are carried in this book clearly and properly.

6-Return Receipt Register Book: Return receipts serial numbers and orders; names, surnames and sings of the receiving and returners; dates of receiving and returning are carried on this book.

b) Books to be kept in balance sheet and bases to be fit are as follows:

1-Registered books in (a) section of 1, 2, 3 and 6th subsections are kept on keeping books on balance sheet base.

2-Waste Book, Big Book and Inventory Book: Bases of keeping these books and procedure of register are done by the bases of Tax Procedure Law and Accounting System Application General Declarations which issued based on given authority by this law to the Ministry of Finance.

Certification of the Books

Books that are compulsory to be kept in association are certified local association directory or notary public before using. These books are used till the pages complete and books interim certifications are not done. However books are kept by balance sheet base and form or for leaf books are supposed to be certified again annually in the last month before the usage year.

Table of Income and Getting out a Balance Sheet

Development Account Table, stated in Association Regulation in appendix-16, is gotten out at the end of the year (31st December) on keeping register according to development account base. If books are kept according to balance sheet, balance sheet and income table are gotten out on the bases of Accounting System Application General Declarations which issued by the Ministry of Finance.

         Income and Expenditure Processes of the Association

Item 16-Income and expenditure documents;

Incomes of the association are collected by “Advice of Delivery” (a sample in Association Regulation in appendix-17). On condition that union’s incomes are collected via banks, extract of account or account summary are accepted as notice of delivery.

Expenditure of the association is done by some expenditure documents such as bill, retail sales slip, and freelance invoice. However, bill of expenses is gotten out for payments of the association within the meaning of the Income Tax Act Item 94. Expense Voucher is gotten out for payments of the association without the meaning of the Income Tax Act Item 94 (a sample in Association Regulation in appendix-13).

Goods free of charge and delivered free of charge to person, foundation or associations by the unity are done by “Aid in Kind Delivery Slip” (a sample in Association Regulation in appendix-14). Goods free of charge and delivered free of charge by person, foundation or associations to the unity are accepted by “Aid in Kind Receipt Slip” (a sample in Association Regulation in appendix-15).

Return Receipts

Return receipts, to be used in collecting incomes, are printed in a printing house by administrative board decision. (In shape and dimensions showed in Association Regulations appendix-17).

While printing, controlling and taking from the printing house, registering in book, transferring and handing over among new and old accountants, using these receipts by person or people who are going to collect income in the name of the association and using these receipts, it is acted according to related decisions of Association Regulation.

Certificate of Authority

Person or people who are going to collect income in the name of the association are decided by administrative board decision by stating the duration of the authority as well. Certificate of Authority, contains person’s open identity, sign and photo (There is a sample in Association Regulation appendix-19), is arranged as three copies and approved by the association’s administrative board president. A copy of the certificate of authority is given to the association units. Unit of association in informed by changing related to the certification of authority by administrative board in fortnights time.

People who will collect income in the name of the association are able to start to collect income just merely after a copy of their own certificate, prepared for their names are given to the association unit.

On using of the certificate of authority, renewing, returning and other matters, Association Regulation related decisions are valid.

Keeping Income and Expenditure Documents

Return receipts, expenditure documents and other documents that are used by the association except books are kept in 5 year-time suitable for according to registered number and date orders on registered books just about to be kept determined duration which is stated by private laws.

Handing Written Statement

Item 17- Association Written Statement that results (presented in Association Regulation appendix-21) conventional of end of the year related to a year before association activities;  income and expenses processes is handed in to related civil administration chief in four months time in each calendar year by the association president after approved by the administrative board.

Liability of Notification          

Item 18-Notifications to be done to civil administration chief;

General Assembly Result Notification

General Assembly Result Notification (presented in Association Regulation appendix-13) and attachments that covers chosen original and alternate members of administrative board, supervisory committee and other organs of the association is handed in to related civil administrative chief by administrative board of the association after thirty days from ordinary or extraordinary general meetings:

         In general meeting result notification;

1-Sample of meeting written report that is signed by council president, vice presidents and accountants,

2-If charter changing is done, new and old shape of the items of the charter and last shape of the charter’s signed sample by the administrative board

Notifications of Immovable Goods

Acquired goods by the association are notified to civil administrative chief by filling out the form of Notification of Immovable Goods (in Association Regulation appendix-26) after registration of title deed in thirty-day time.

Notification of Getting Aids from Abroad

Notification of Getting Aids from Abroad form (stated in Association Regulation appendix-4) is filled in as two copies and handed in civil administrative chief on condition that before getting aids from abroad. 

Sample of administrative board decision on getting aids from abroad, arranged protocol, contract and other documents about aids and account slip related to transferred aid and etc. documents if exist are attached to the notification.

Getting financial aids via banks and notification condition before using are compulsory.

Notification of Related to Projects that are applied together with Civil Foundations and Associations

Sample of protocol and projects related to association’s duty area that applied together with civil foundations and associations are attached to Notification of Project and handed in governorship of the state where center of the association exist in a month time the aftermath of protocol date.

Notification of Changing

Notification of Settlement Changing form is filled in on changing in settlement of the association (stated in Association Regulation appendix-24) and Notification of Changing in Organs’ of the Association form is filled in on changing in association organs (stated in Association Regulation appendix-25) except general council. These changing are notified to civil administrative chief in a thirty day time the aftermath of changing.

Changing in charter of the association is notified to the civil administrative chief in thirty day time the aftermath of general council meeting which changing is done.

Association’s Internal Audit

  Item 19-On the one hand, internal auditing can be done by plenary council, administrative board or supervisory committee; on the other hand, independent auditing firm can be done auditing. Internal auditing by plenary council, administrative board or independent auditing firm does not abolish supervisory committee’s responsibilities.

Auditing of the association is done by supervisory committee at least once in a year. Plenary council or administrative board can audit the association on required situations or this can be made to independent audit firms.

Procedure of Association’s getting into Dept

Item 20-Association can get into dept in order to get its aims and keep its activities if needed situations with administrative board’s decisions. This can be done on purchasing goods or service with credit or cash. However, becoming indebted cannot be more amount of than the association’s income can cover and it should not cause payment troubles to the association.

Foundation of Association’s Branches

Item 21-Association can open new branches where needed by decision of the plenary council. For this aim, at least three people founder committee authorized by administrative board hand in notification of branch foundation and necessary documents to civil administration chief where new branch to be opened.

Branches’ Duties and Responsibilities

Item 22-Branches are association’s internal organizations that have no legal personality, charged and authorized to display autonomous activity in accordance with association’s aim and service, responsible for its all income and dept cause from financial process.

Organs of the Branches and Decisions to be applied to the Branches

Item 23- Branches organs are plenary council, administrative board and supervisory committee.

Plenary council forms from registered members of the branches. Administrative board forms from five original and five alternate members; supervisory committee forms from three original members and three alternate members. These formations and elections are done by branch plenary council.

These organs’ duties and authorities and other decisions related to the charter, stated in the charter, are applied on branches according to valid form and fact of the regulations.

Date of Branches’ Plenary Council Meetings and How Branches Will Represent in Plenary Council General Meetings

Item 24-Branches are supposed to complete their ordinary general meetings at least two months before plenary council general meetings.

   Branches’ ordinary plenary council meetings are done in February once in three years at a place, date and time determined by administrative boards.

Branches are supposed to hand in plenary council result notifications to civil administrative chief and to the general center of the association in a month time the aftermath of meeting date.

Branches are represented in plenary council general meeting as by original members for election. Branches’ administrative boards’ presidents and supervisory committees’ presidents have the right of participating in plenary council of general center general meetings as natural delegates; one (1) member for each registered twenty (20) members to the branches; if number of remaining members is more than twenty (20) or total number of the members is less than twenty, a delegate member for these members is chosen for the election as delegate of election participate in the plenary council of general center general meetings to represent the branch .

Chosen delegates in the last branch general meeting participate in plenary council of general center general meetings. General center administrative board and supervisory committee members participate in general center plenary council meeting, but they cannot vote unless they are chosen delegates in the name of the branches.

Charged people in branches’ administrative boards and supervisory committees leave from their duties in their duties on branches on chosen to the administrator board or supervisory committee of general center.

Opening Representative Office

Item 25-Association can open a representative office via administrative board decision in order to execute activities of the association where needed. Address of the representative office is informed in written to the civil administrative chief of the place where the association exists by person or people who are charged by administrative board decision. Representative is not represented in charter general council. Branches cannot open a representative office.

         How Statute will be changed

         Item 26-Statute changing can be done by plenary council decision.

Majority of 2 out of 3 members who have the right of participating and voting in plenary council is needed in order to change statute in plenary council. On condition that delaying the meeting because of not gaining majority, majority cannot be considered in second meeting. However, number of the members who attend this meeting cannot be less than two times of the integer members who attend administrative board and supervisory committee.

         Necessary decision in order to change the statute is 2 out of 3 members’ voting who have the right of majority participating and voting in meeting. Statute changing voting is done by open ballot in plenary council.

         Abolishing Association and Discharging Belongings

         Item 27-Plenary council always can decide to abolish the association.

In order to abolishing be discussed in plenary council, majority of 2 out of 3 members who have the right of participating and voting in general meeting is needed. On condition that delaying the meeting because of not gaining majority, majority cannot be considered in second meeting. However, number of the members who attend this meeting cannot be less than two times of the integer members who attend administrative board and supervisory committee.

Process of Liquidation

On deciding of association’s abolishing, liquidation of goods and rights is done by the committee of liquidation which formed from members of the administrative board. These processes begin from when the date of abolishing decision made or date of abolishing itself become definite. In liquidation duration, phrase of “History Educators Unity Association in Liquidation” is used in all processes.

Liquidation committee is appointed and responsible for completing liquidation of all money, goods and rights of the association as suitable for the regulation from beginning to the end of the liquidation process. This committee examines the accounts of the association. While examining, books of the association, return receipts, expense documents, records of banks and title deed and other documents are determined, existing and responsibilities are taken down the records.

During the liquidation process, creditors of the association are called and goods are converted into money if exist and then creditors are effected payment. On condition that the association is the creditor, accounts are received. Money, goods and rights after receiving accounts, paying dept are passed to a place stated in plenary council. If the place to be passed is not stated in plenary council, it is passed to an association that is the most fitness for purpose of the association in the same state and an association that has the most members on abolishing date.

All processes about liquidation are shown in liquidation record and these processes are completed in three-month-time except additional period which is given by civil administrator chief depends on a right cause.

After completing all money, goods and rights of the association and legal session process, civil administrator chief in which the association canter exists is informed by liquidation committee in seven days time via written and liquidation record is supposed to be attached to this record.

Administrative board members are supposed to keep the book and documents in liquidation committee capacity. This duty can be given to an administrative board member, too. Retention period of these book and documents is five years.

         Lack of Judgment

         Item 28-In points that not stated in this statute, judgments on Association Law, Turkish Civil Code, Association Regulation that is enacted referring to these laws and other regulation of judgments’ association are applied.
